Schoenherr advises on Avia Prime's strategic partnership with Hartenberg

Schoenherr has advised alongside Polish lead counsel Gessel on establishing a strategic partnership between Avia Prime and Czech investment firm Hartenberg Holding ("Hartenberg"). 

The partnership was established with the acquisition by Hartenberg of a 50 % stake in Avia Prime, the 100 % shareholder of Adria Tehnika d.o.o. ("Adria Tehnika"). The transaction was announced in November 2017. A Slovenian maintenance, repair and overhaul ("MRO") provider for narrow-body passenger aircrafts, Adria Tehnika is the only certified service centre in Europe for Bombardier airplanes.

"Advising on a transaction involving one of the largest independent MRO providers in Europe together with our colleagues from Gessel was a highlight for us," commented Schoenherr corporate/m&a partner Marko Prušnik.

Schoenherr assisted Avia Prime and Adria Tehnika on the conversion of Adria Tehnika from a joint-stock company into a limited liability company, advised on the Slovenia-related pre-closing reorganisation, and supported in the refinancing of the Polish Avia Prime group.

Avia Prime is a Polish corporate group comprised of Linetech S.A. and Adria Tehnika, a Slovenian line and base MRO provider specialising in narrow-body passenger Airbus and Bombardier aircrafts. Based in Ljubljana, Adria Tehnika started its operations in the 1960s and currently has a total hangar capacity of three slots for C-type planes of approx. 6,500m2. Hartenberg Holding is an investment company focused on assets in the Central European region, primarily the Czech Republic, Slovakia and Poland, with equity commitments from the founders reaching EUR 200m.
