Austria: Schoenherr advises sell-side in LINK Mobility's acquisition of WebSMS

Schoenherr advised the owners of the Austrian CPaaS ("Communication Platform as a service") companies atms, sms.at and their WebSMS brands (referred to as "WebSMS") on selling WebSMS to Norwegian LINK Mobility Holding ASA.

LINK Mobility has acquired 100 % of the shares in atms Telefon- und Marketing Services GmbH and "sms.at" mobile internet services GmbH, from Mr. Christian Bamberger, SK Capital GmbH, Foxyflo GmbH, Mr. Christian Waldheim, and Mr. Martin Mrvka. Closing took place on 16 November 2020. 

WebSMS is headquartered in Graz, Austria, and was established in 1999. It holds an MNO licence in Austria, and is considered the local market leader for the provision of mobile messaging and CPaaS solutions, with more than 5,000 enterprise clients. WebSMS also has significant business in Germany and Switzerland.

LINK Mobility is one of Europe’s leading providers of mobile messaging and CPaaS solutions based on volume of messages for customer engagement serving enterprise, SME, and government customers. LINK offers a wide range of innovative and scalable mobile solutions, creating valuable digital convergence between businesses and customers, platforms and users. 

The Schoenherr team advising the sellers of WebSMS on all legal aspects arising from the transaction was led by Markus Piuk (partner) and additionally included Manuel Ritt-Huemer (attorney at law); Michael Kern (associate); and Irina Hanin (associate). The same Schoenherr team recently advised two of the sellers on their investment into woom, the Austrian children bikes manufacturer. The financial aspects on the sell-side were handled by BDO Austria.
