Czech Republic: Schoenherr advises Celonis SE on acquisition of Integromat group

Schoenherr advised Celonis SE ("Celonis"), a global leader in process mining software, on the acquisition of Czech Integromat, s.r.o. and its subsidiaries, one of the most progressive providers of automation software. The acquisition allows Celonis to achieve full synergy in the provision of process mining services offering professional automation solutions.

Schoenherr's Prague office provided complex transactional advise to Celonis, including due diligence, transaction structuring and transaction documentation drafting and negotiation. As a result of the transaction some of the sellers remain in managerial positions at Integromat to collaborate on the future development of the company.

Celonis, founded in Germany in 2011, is the market leader in enterprise performance acceleration software. Its process mining technology helps organisations eliminate operational friction and become a superfluid enterprise. Celonis serves customers in the automotive and industrial, banking, wholesale and retail, insurance, and telecommunication sectors.

Integromat, s.r.o. is a Czech-based provider of automation software established in 2013. The company's software automates processes usually handled manually. It is capable of connecting apps as well as transferring and transforming various data. The software is used by well-known companies to improve and speed up their processes.

The Schoenherr team advising on the transaction was led by Vladimír Čížek (partner) and Jiří Marek (attorney at law).  The team further consisted of Rudolf Bicek (attorney at law), Eva Bajáková (attorney at law) and Marie Gremillot (attorney at law).
