Schoenherr has advised the shareholders of the Synergis Informationssysteme GmbH ("SynerGIS") on the sale of its GIS (geographic information systems) and FM (facility management) software development business to AED-SICAD GmbH ("AED-SICAD").
The transaction has closed in early July 2019 after clearance by the German anti-trust authority (Bundeskartellamt).
SynerGIS GIS & FM Solutions GmbH owns the products GeoOffice, WebOffice and ProOffice and is a spin-off of SynerGIS Informationssysteme GmbH, the official Esri distributor for Austria and Slovakia. SynerGIS GIS & FM Solutions GmbH includes the former SynerGIS CAD-Info-Systeme Gesellschaft m.b.H. founded in 1989 in Innsbruck, the WebOffice development in Vienna and 50 percent of the shares in AED-SYNERGIS GmbH in Bonn.
AED-SICAD, part of VertiGIS, is the leading GIS application company in Europe, offering standard applications and tailor-made solutions. The portfolio comprises high-end geo-information systems for the key segments utilities, cadaster and land management.
