Austria: Schoenherr supports Preservation Capital Partners in sale of majority stake in HBC to Bridgepoint

Schoenherr supported Preservation Capital Partners (PCP) in the sale of its majority stake in Hanseatic Broking Center (HBC Group), a leading European insurance brokerage platform, to Bridgepoint, a major international private equity firm. Schoenherr acted as Austrian local counsel alongside Sidley Austin (Munich).

The transaction is subject to regulatory approvals and is expected to complete in late 2025. It marks Preservation Capital Partners' full exit from its holding in HBC Group, with HBC's founders retaining a significant stake. An important milestone in HBC's development, the partnership with Bridgepoint paves the way for the group's continued expansion and digitalisation strategy, as well as the integration of additional brokerage businesses.

With over EUR 1.9bln in assets under management and 75 years of expertise in direct investing, London-headquartered Preservation Capital Partners is a private equity firm specialising in investing in market leading businesses within the high-growth financial technology and services sector.

Hamburg-headquartered Hanseatic Broking Center (HBC) is one of the fastest-growing insurance distribution groups in Europe, serving over 40,000 customers through its extensive network of brokers and agents across Germany and neighbouring markets. Under PCP’s ownership, HBC has experienced rapid growth through both organic initiatives and strategic acquisitions, evolving into a technology-enabled, multi-brand group.

The Schoenherr advisory team was led by Michael Marschall (partner) and Lukas Pirringer (attorney at law), who were supported by Georg Winkler (associate), Bernhard Schmidt (attorney at law), Florian Terharen (attorney at law), Denise Stahleder (associate), Peter Konwitschka (partner), Benjamin Hofmann (associate), Miriama Rusinkova (associate), Daniel Komarek (attorney at law), Clemens Rainer (partner), Markus Buchleitner (attorney at law) and Hanna Kirschner (associate).

Sidley Austin, led by Björn Holland and Jennifer Limmer, acted as lead counsel to Preservation Capital Partners.
