CEE: Schoenherr advises AMCO on cross-border sale of multi-jurisdictional NPL portfolio

Schoenherr teams in Romania, Moldova and Croatia, as well as local counsel friends from Albania, joined forces on this cross-border project, advising on the local law aspects of the portfolio sale documentation, reviewing and negotiating the loan portfolio transfer agreement and ancillary documents, advising on local law perfection and assignment requirements, coordinating the foreign direct investment (FDI) approval process and liaising with co-counsel across multiple jurisdictions.

The transaction concerned a complex, multi-jurisdictional NPL portfolio disposal spanning four jurisdictions. It was signed in March 2026, followed by a six-month period of parallel workstreams to satisfy conditions precedent and secure all required regulatory clearances, culminating in a landmark closing in September 2026.
