Czech Republic / Austria: Schoenherr advises Twisto group on senior and mezzanine debt (re)financings

Schoenherr advised Twisto FinCo s.r.o. and Twisto payments a.s. on debt (re)financings with an approximate quantum of EUR 25m, comprising a senior stream provided by J&T Banka (approx. EUR 17.3m) and a mezzanine stream provided jointly by Orbit Capital and Growth Finance (approx. EUR 7.7m). The firm provided comprehensive legal advice to Twisto Payments a.s., including assistance with the structuring of the transaction and transaction documentation. This is the largest debt financing the Twisto group has received.

Twisto Payments a.s. is a financial technology company that provides mobile payment software allowing customers to pay for their purchases with just one click, deal with bills and invoices by taking a photo of them within the app, defer payments, perform instant checkouts and make payments just about anywhere else with a virtual card or third-party payment tools.

The Schoenherr team advising on the transaction was led by Jiří Marek (attorney at law, Prague). The team also consisted of Robert Bachner (partner, Vienna), Ondřej Havlíček (attorney at law and head of the local banking & finance practice, Prague) and Matěj Šarapatka (attorney at law, Prague).
