Schoenherr, acting as Polish counsel alongside Davis Polk & Wardwell LLP, advised Cyprium Corporation and Cyprium Holdings Luxembourg S.à r.l., subsidiaries of Versigent Limited, in connection with their Rule 144A and Regulation S offering of an aggregate principal amount of USD 1.5bln of 6.125% senior notes due 2031 and 6.375% senior notes due 2034, as well as the related loan agreements.
Schoenherr's scope of work comprised Polish law advice on the notes workstream and the guarantee provided by the Polish subsidiary in connection with a USD 850m senior secured revolving credit facility and a USD 500m senior secured term loan credit facility.
