Poland: Schoenherr advises Hawk Infinity on acquisition of Clastify

Clastify is a leading International Baccalaureate (IB) coursework platform. Hawk Infinity, which specialises in investing in well-established, cash-flow-positive technology businesses, intends to leverage its sector expertise and growth capital to accelerate Clastify's product development and pursue further expansion opportunities.

The transaction featured a multi-faceted structure incorporating bank financing and a vendor reinvestment mechanism. The cross-border nature of the transaction required close coordination between Polish and Norwegian counsel to navigate legal and corporate governance matters.
