Schoenherr advised mBank on the financing of Bold Capital's investment in Primus, a network of outpatient clinics in Poland. The transaction, structured as a search fund model, marks a significant investment in the Polish healthcare sector and sets the stage for further consolidation of the primary care market in Silesia.
Primus operates a network of outpatient clinics across the Silesia region, providing primary healthcare services (POZ) under contracts with the National Health Fund (NFZ) as well as a growing range of commercial medical services. The company plans to leverage the acquisition as a platform to consolidate dispersed local primary care clinics, accelerate digitisation to reduce administrative burdens on physicians, and expand its commercial service offerings.
