Austria: Schoenherr advises Caverion Österreich GmbH on acquisition of Climacraft's refrigeration and air conditioning business

Schoenherr advised Caverion Österreich GmbH, a provider of technical facility services, on its acquisition of the refrigeration and air conditioning business of Climacraft GmbH, a leading company in the field of refrigeration and air conditioning technology, through an asset deal.

"We are delighted to have once again had the opportunity to advise Caverion on a transaction," said attorney at law Niklas Kerschbaumer, who led the Schoenherr team, which has advised Caverion on various transactions on the Austrian market in recent years.

Caverion Österreich GmbH is part of the international listed Caverion Group, which will soon be combined with the Assemblin Group to form the Assemblin Caverion Group. Caverion has locations in ten countries and together with the Assemblin Group about 21,900 employees, including over 1,000 employees throughout Austria. The group's portfolio includes complete solutions for building technology and industrial systems with service and operational management. Further, Caverion has special expertise in refrigeration technology, building control technology (automation), energy optimisation and tunnel technology.

Climacraft GmbH, based in Traboch, Styria, specialises in the sale and installation of tailor-made refrigeration and air conditioning systems. The company is one of the leading providers of refrigeration and air conditioning technology in Austria.

The Schoenherr team advising Caverion on this transaction was led by Thomas Kulnigg (partner) and Niklas Kerschbaumer (attorney at law) and further consisted of Christoph Haid (partner), Theresa Saufnauer (associate) and Alexandru Caprau (associate) for the FDI clearance of the transaction as well as Clemens Rainer (partner), Yvonne Kraudinger (associate), Teresa Waidmann (partner), Hanna Kirschner (associate), Nina Zafoschnig (attorney at law), Stefanie Orator-Saghy (attorney at law), Vessela Anastassova (associate), Clemens Pretscher (attorney at law) and Valentin Demschik (associate) for conducting the due diligence.

Climacraft GmbH was advised by Cuber Rechtsanwälte from Graz, a law firm specialising in corporate law. The team included partners Anton Cuber and Claudia Kopp-Helweh.
