Moravčević Vojnović and partners in cooperation with Schoenherr advised the shareholders of Baupartner, a leading precast concrete and steel structures company based in Bosnia and Herzegovina, on the sale of an 80 % equity stake to an acquisition vehicle jointly formed by global building materials groups Molins (Spain) and TITAN (Greece). The transaction marks one of the most significant industrial M&A deals in Southeastern Europe this year and positions Baupartner for accelerated growth across Bosnia, Croatia and Serbia.
The cross-border deal enables Molins to deepen its precast solutions leadership while facilitating TITAN's entry into the precast segment. Under the transaction structure, the selling shareholders – led by CEO Eldin Hadžibegović – retain a 20 % stake and will continue to steer Baupartner's operational development. Closing is subject to customary conditions.
The core Schoenherr team was led by Luka Lopičić (partner) and included Isidora Grujičić (associate) and Doroteja Šturm (associate).
Bosnian law advice was provided by independent attorney Alma Hota and her associate Mahira Herić.
Grubišić Krešić Corporate Finance acted as exclusive financial advisor to the sellers.
