CEE: Schoenherr advises BHM Group on sale of majority stake in BLOCK Group to Central Europe Industry Partners (CEIP)

Schoenherr advised BHM Group, a prominent Czech investment group active in Europe, on the sale of its majority stake in the BLOCK Group, a group of construction and engineering companies specialising in comprehensive deliveries of cleanrooms and technologies for the industry and pharmaceuticals, to the Czech investment fund Central Europe Industry Partners (CEIP).

"We are proud to have contributed to the success of the BLOCK Group," said Jan Izák, Associate Partner at BHM Group, responsible for the investment in the Block Group. "Its revenues currently amount to CZK 1.5bln and the company is fully contracted. Schoenherr provided outstanding support, and we are delighted to hand over the company to CEIP, which has big plans for its future development."

Besides carrying out vendor due diligence and negotiating the share purchase agreement with CEIP, the Schoenherr team also advised on competition law aspects of the transaction.

BHM Group is a private investment company founded in 2014 and majority owned by Tomáš Krsek. It focuses mainly on investments in projects and companies in the fields of new technologies and renewable resources as well as on development projects across sectors and regions.

BLOCK Group, based in Valašské Meziříčí, is a renowned construction and engineering group of companies specialising in comprehensive deliveries of cleanrooms and technologies for the industry and pharmaceuticals. The group has nearly 300 employees and supplies its products to markets in Germany, Switzerland and Australia. Production is carried out in two manufacturing plants in the Czech and Slovak Republics.

Central Europe Industry Partners (CEIP) is a private equity fund managing the financial resources of renowned institutional investors. Its investments are primarily directed towards industrial manufacturing, service and technology companies with the aim of active management and value appreciation.

The Czech team advising on the transaction was led by Michal Jendželovský (counsel), and also included Vladimír Čížek (partner), Ondřej Havlíček (partner), Karolína Hlavinková (associate), Martin Svoboda (associate) and Jan Kupčík (attorney at law). The Slovak team was led by Soňa Hekelová (partner) and Ján Farbiak (attorney at law). The Ukrainian aspects of the transaction were handled by Tatiana Iurkovska (attorney at law).

The acquirer, Central Europe Industry Partners (CEIP), was represented by Rowan Legal.
