Schoenherr advised Saint-Gobain, a leader in light and sustainable construction, on the acquisition of Stachema's construction chemicals plants specialising in concrete admixtures from DEK a.s. Saint-Gobain acquires certain operations in the Czech Republic, as well as entities in Slovakia, Poland and Ukraine. The transaction is expected to close by the end of 2026, pending regulatory approval.
"This acquisition called for a careful and closely coordinated process to set the framework for separating the target plants in the Czech Republic, as well as for the overall integration of the entities within the transaction perimeter into the Saint-Gobain group in all four jurisdictions," said Michal Jendželovský, Partner, who co-led the advisory team. The transaction presented several legal and commercial challenges, including carve-out of the target Stachema plants and entities from the DEK Group, covering the identification and separation of all relevant assets, intellectual property rights and operational arrangements in the respective jurisdictions.
