Schoenherr advised the shareholders of Resalta, one of the leading energy service companies in Central and Southeast Europe, on the disposal of a controlling stake in Resalta BV Netherlands, including its Slovenian, Croatian, Serbian, Romanian and Czech subsidiaries, to Aggreko, a leading supplier of mobile and modular power.

The firm's legal advice comprised a comprehensive sell-side legal services package, including vendor legal due diligence, transaction structuring, negotiation of the sale and purchase documentation, support between signing and closing, and a comprehensive refinancing of Resalta's indebtedness at closing. Schoenherr's Slovenian team led and coordinated the various jurisdictions involved in the project.
The deal was signed on 26 January 2024 and closed on 1 July 2024, following obtainment of regulatory clearances and fulfilment of other conditions precedent.
